Terms of Service

These Terms form an agreement between you and Aiden Guan for use of MillionDollarLeaderboard.

Effective August 23, 2026

1. Acceptance and eligibility

By creating an account, purchasing or listing a region, uploading content, or otherwise using the service, you accept these Terms and the linked policies. You must be at least 18 years old and legally able to enter a binding contract. During the initial launch, purchases and listings are available only to people located in the United States. If you act for an organization, you represent that you can bind it.

2. The service and region rights

The service is a hosted digital canvas and resale marketplace. A completed purchase grants the account holder a limited, revocable, non-exclusive contractual right to control the artwork and outbound link assigned to the purchased region while the service operates and the account remains compliant.

A region is not real property, a security, an investment, intellectual-property ownership, or a promise of permanent hosting, traffic, resale demand, appreciation, profit, search ranking, or uninterrupted availability. Scarcity describes the canvas design; it does not guarantee economic value.

3. Accounts and security

You must provide accurate information, protect your credentials, and promptly report suspected compromise. You are responsible for activity under your account except to the extent caused by our failure to use reasonable security. We may require re-verification or restrict high-risk activity.

4. Purchases, pricing, taxes, and invoices

The launch promotion is one site-wide allocation: the first 1,000 eligible unowned primary pixels purchased across the service are priced at $0.33 per pixel. Once that global allocation is claimed, subsequent primary pixels are priced at $1.00 per pixel. If a checkout crosses the remaining threshold, only the pixels still available in the global allocation receive the $0.33 price and the rest cost $1.00 each.

When primary Checkout starts, the server briefly holds the selected coordinates so a simultaneous buyer cannot be charged for the same pixels. A completed primary purchase counts permanently. Pixels held by a Checkout that expires or fails before payment become available to later buyers. Availability shown before Checkout is an estimate because another buyer may claim pixels first; the server records the binding pixel split and subtotal before sending you to Stripe Checkout.

Primary pricing does not apply to marketplace resales. A resale region is sold as one indivisible item at the seller’s displayed listing price. Stripe Checkout shows the transaction total in U.S. dollars and any applicable taxes before payment. We will not finalize a higher charge caused by a technical pricing error without displaying the corrected total and obtaining payment authorization.

Stripe processes payments. Digital delivery occurs only after Stripe reports verified payment and the service records the ownership transition. The Purchase & Refund Policy applies to every purchase and is incorporated into these Terms.

5. Marketplace resale

Eligible owners may list regions subject to the Marketplace Terms. The configured seller proceeds are 80% of the listing price and the platform retains 20%, before any allocation required by law or disclosed adjustment. Stripe fees, taxes, reserves, refunds, disputes, and negative balances may affect the timing or availability of proceeds.

6. Your content and license

You retain rights you already hold in uploaded artwork, names, and links. You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, resize, transcode, display, distribute, and technically adapt that content solely to operate, secure, moderate, demonstrate, and promote the service.

You represent that you have all required rights and permissions. The Content Policy and Copyright & IP Policy apply.

7. Acceptable use

You may not break the law; infringe rights; deceive, harass, or harm others; upload malicious code; evade moderation or access controls; manipulate payments, inventory, traffic, or marketplace activity; scrape at disruptive scale; reverse engineer except where law permits; or use the service in a way that threatens its security or availability.

8. Moderation and enforcement

We may review reports; restrict links or visibility; reject or remove content; pause transfers; cancel listings; suspend uploads; or suspend or terminate accounts when reasonably necessary for safety, legal compliance, payment risk, or enforcement. Emergency action may precede notice. Where practical, we will provide a reason and an appeal path.

9. Service changes and termination

We may modify, suspend, or discontinue features, but will not intentionally erase completed ownership records merely to avoid a valid obligation. You may stop using the service at any time. Account deletion may be limited by transaction, tax, fraud-prevention, dispute, moderation, backup, and legal-retention requirements. Termination does not erase accrued payment duties, licenses needed for retained records, or provisions intended to survive.

10. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing. We do not warrant uninterrupted operation, particular traffic, commercial results, resale liquidity, or third-party links. Nothing here excludes a warranty that cannot legally be excluded.

11. Limits of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. Our aggregate liability arising from the service will not exceed the greater of $100 or the amount you paid us during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, payment obligations, infringement, or liability that law does not permit us to limit.

12. Indemnity

To the extent permitted by law, you will defend and indemnify Aiden Guan against third-party claims arising from your content, listings, unlawful conduct, infringement, or material breach of these Terms. This does not require indemnity for our own negligence or misconduct where prohibited.

13. Governing law and disputes

These Terms are governed by United States federal law, without regard to conflict-of-law rules. Before filing a claim, contact support and allow 30 days for an informal resolution, except when urgent injunctive relief or a statutory deadline requires faster action. Mandatory consumer protections and lawful small-claims rights remain available.

14. Changes and contact

We may update these Terms prospectively. Material changes will be posted with a new effective date and, when reasonably required, additional notice. Questions may be sent to aidengrails@gmail.com.
